Responsibility for Good Governance

Good corporate governance is the responsibility and concern, not only of the Board of Directors and management, but also of each and every employee of the Company.

 

The Compliance Officer

To insure adherence to corporate principles and best practices, the Board shall designate a Compliance Officer.  He shall perform the following duties:

  •  Monitor compliance with the provisions and requirements of this Code;
  • Appear before the Insurance Commission upon summon on matters concerning the Company;
  • Prepare and submit to the Insurance Commission all reports or disclosures required under this Code;
  • Determine violations of the Code and recommend sanction for violation thereof for and recommend sanction for violation thereof for review and approval of the Board;

 

Communication and Dissemination

  •  This Code shall be available for inspection by any stockholder of the Company at reasonable hours on business days.
  • All Directors, executive, division and department heads are tasked to ensure the thorough dissemination of this Code to all employees and related third parties, and to likewise enjoin compliance in the process.

 

Monitoring and Assessment

  • The Compliance Officer shall establish an evaluation system to determine and measure compliance with this Code.
  • This Code shall be subject to annual review by the Board.
